Iain Ferguson

Iain joined themission® from his role as Executive Vice President and member of the Executive Committee at Havas - the world's sixth largest Marketing Communications Group. Reporting directly to the Group Chairman and CEO, he was responsible for planning, leading and executing a major Havas reorganisation in September 2003. Iain identified core competencies for retention and integration in the Group; recommended companies for transfer, closure or disposal; and completed a programme of 20 disposals in the UK, France, US and Brazil. Iain's prior position was CEO of Euro RSCG Marketing Services. He was based at the Group's New York headquarters and was responsible for a worldwide agency network across 30 key locations with revenues of $200 million. Before moving to New York, Iain managed on a worldwide basis, Havas' business with Philips and successfully built Euro RSCG's European Marketing Services capabilties from his bases in London and Paris.
Tim Alderson
Chief Financial Officer
Tim was recruited to themission® following his successful role in helping to build Creston plc from concept to a London listed £57 million market capitalisation group in 4 years and achieved status as Europe's no. 13 growth company in 2004. Tim was previously Corporate Finance Manager of Thames Water plc and oversaw acquisitions valued from £10 to £100 million. Subsequently, he became Finance Director of their Product and Service Division comprising companies in 7 countries. He managed a restructure reducing the division from 14 to 4 operating companies with £90 million sales achieving double the operating profit. He also worked as a consultant for KPMG. Tim was a runner up in the QCA Finance Director of 2008.

Francis is a lawyer by training and has wide business experience. He was appointed a Non-Executive Director of ASDA Group plc in 1992. Previously, he was a Director of Salomon Brothers in 1992-93 and a Managing Director of Morgan Stanley & Co Ltd in 1993-97. Most recently, he oversaw, as Chairman, the development and sale of Incepta and became Chairman of Huntsworth plc.
Martin Banbury
Non-Executive Deputy Chairman
Martin is the founder of themission® and has a track record of building and creating value from service businesses. His initial marketing and commercial experience was gained at Procter & Gamble, Cussons and Britvic. He later started and built his own agency, Communicator, which became a successful and highly profitable agency, and was sold to Lighthouse in 1999, which was itself sold to Cordiant in 2000. Since then, Martin has built successful business interests in the property and insurance sectors. Insure & Go travel insurance has grown to a £50 million turnover business in 7 years and is now the largest on-line travel insurance broker in the UK.
Brian Child

Brian has extensive and in-depth knowledge of the UK and European regional agency market, having served as CEO of McCann Erickson Manchester, and UK Group Chairman and latterly Chief Operating Officer of McCann World Group UK. He is Chairman of the Marketeer Association, Non-Executive Director at Elmwood and the Yes Agency. Most recently he has been appointed by Marketing Manchester as a mentor to aid the development of companies in the marketing services sector, particularly digital agencies. In his Non-Executive role at themission®, Brian provides counsel on acquisitions, people development and integration.
Nick Bacon
Non-Executive Director
Nick joined the Board on 1 January 2007 and is also a Non-Executive Director of Bray Leino. He has twentysix years experience in the advertising industry. He joined Harrison Cowley as an agency trainee, was Managing Director of a divisional company at the age of 25 and became Group Managing Director of Saatchi UK Affiliates ten years later. He was appointed Chief Executive of Brunnings Advertising in 1991, a post he left two years later to launch BCLO Advertising and Public Relations and establish The Zoo Group, which was subsequently acquired by Bray Leino in 2005.

Jerram Shurville
Group Commercial Director
Although not a Board Director, Jerram, is a key member of the management team. He was a founder of themission®, joining Martin Banbury in 2004. With over 25 years experience in the marketing services industry, he was recruited by Havas in 1988 and became Group Financial Director of Euro RSCG Marketing Services. Jerram was appointed COO of Havas' UK fulfilment and telemarketing businesses, and as part of Havas' acquisition team, was responsible for the acquisition of Worthington Design and its merger into the Conran Design Group which he then chaired. He was instrumental in initiating Havas' 'white knight' acquisition of Lopex plc in 1999.
The Board consists of six Directors, four of whom are Non-Executive Directors and two Executive Directors. Two of the Non-Executive Directors, the Rt. Hon. Francis Maude and Brian Child are considered to be independent of management and free from any business or other relationship with the Company other than owning shares and options over shares of the Company. The remaining two Non- Executive Directors, Martin Banbury and Nick Bacon, are not considered to be independent of management by virtue of their disclosable shareholdings in the Company. The Board Directors are collectively responsible for the strategic direction, investment decisions and effective control of the Group. There is a schedule of matters reserved for Board approval which is regularly reviewed and includes, amongst other things, approval of the Group's annual budget, acquisition of new subsidiaries, property leases, significant acquisitions or disposals of fixed assets, and material client contracts. The Board meets physically at least six times in a year and has regular telephonic and electronic contact in between meetings.
Prior to each scheduled Board meeting, every member of the Board receives an agenda and monthly Board pack including the trading results together with a detailed commentary. The Chief Executive Officer and the Chief Financial Officer report on the Group's operations. The Board is satisfied that it receives information of a quality and to a timetable that permits it to discharge its duties.
The Directors have adopted a number of policies and procedures to help them operate effectively. These include access to independent professional advice and the advice of the Company Secretary, whenever necessary for the fulfilment of their duties. The Company Secretary is responsible to the Board for ensuring that Board procedures are followed and that applicable rules and regulations are complied with.
An informal procedure for performance evaluation of the Board, its committees and individual Directors has been carried out during the year. All Directors are subject to election by shareholders at the first opportunity after their appointment. All Directors are required to retire by rotation and one third of the Board is required to seek re-election each year.
